White Gold Shareholders Are About to Get Two Companies for the Price of One

TORONTO, ON – July 28, 2026 – As a featured company in The Resource Vault, White Gold Corp. (TSX-V: WGO | OTC: WHGOF) has announced a significant development that creates additional value for existing shareholders: the Company has filed the Management Information Circular for the proposed spin-out of its critical minerals portfolio into a new, separately listed public company — W2 Critical Minerals Corp. (“Spinco”).

The shareholder vote is scheduled for August 11, 2026. If approved, White Gold shareholders will receive one Spinco share for every five WGO shares they hold — at no additional cost. Their existing White Gold position remains unchanged.

What Is Being Spun Out

The Spin-Out will transfer White Gold’s portfolio of copper, molybdenum, tungsten, and other critical mineral properties in west-central Yukon into W2 Critical Minerals. The portfolio includes six properties — Bridget, Loonie, Wolf, Hunker, Hayes, and Toonie — prospective for copper (Cu), molybdenum (Mo), tungsten (W), antimony (Sb), zinc (Zn), and bismuth (Bi).

The flagship asset within the spin-out is the Bridget Property — a 15,500-hectare, 750-claim copper-molybdenum target located approximately 25 km northeast of the Casino porphyry deposit, one of the world’s largest copper-gold systems. Historical drilling and geophysical surveys have delineated a 4.3 km by 1.4 km molybdenum soil anomaly and a 2.0 km by 0.75 km copper anomaly, with priority IP targets identified at depths of 130 to 330 metres — never yet tested by diamond drilling. The Bridget Property has the hallmarks of a large-scale porphyry system in a district that has already produced world-class deposits.

Why This Matters for White Gold Shareholders

The logic of the Spin-Out is straightforward: a gold company and a critical minerals company should not share the same stock price. By separating the two portfolios into dedicated vehicles, each can be valued on its own merits, attract the right investors, and be advanced by a focused team with the right mandate.

For White Gold shareholders, the result is that they will hold two assets where they previously held one — their existing exposure to White Gold’s flagship gold project (which hosts over 3 million ounces of gold in indicated and inferred resources and a PEA expected in 2026) plus a new, direct stake in a critical minerals exploration company at the moment when copper, molybdenum, and tungsten are attracting significant institutional and government attention as essential components of the energy transition and Canada’s supply chain strategy.

White Gold will retain an approximate 19.9% ownership interest in Spinco following the Spin-Out, maintaining alignment between the two companies.

“We are very excited to be advancing the proposed W2 Spin-Out designed to unlock the value of our prospective critical mineral projects by creating a dedicated publicly listed vehicle,” said David D’Onofrio, CEO of White Gold Corp. “We believe 2026 has the potential to be a transformational year for White Gold.”

The Resource Vault Perspective

This is the kind of corporate action that rewards patient shareholders. White Gold has been quietly building one of the most comprehensive land packages in the Yukon… and the Spin-Out is the Company beginning to unlock the full value of what it has assembled. Shareholders who hold their WGO shares through to the effective date of the Spin-Out will receive their W2 Critical Minerals shares automatically, with no action required beyond voting in favour of the arrangement on August 11.

With three drills currently turning on White Gold’s largest-ever diamond drill program, a PEA on the way, the Talamore road being built through the district, and now a critical minerals spin-out creating a second publicly traded vehicle from the same land package — the catalysts for White Gold in 2026 are stacking up.
